GENERAL TERMS AND CONDITIONS OF USE

These general terms and conditions of use were updated on June 10th 2017.

Purpose

The purpose of these General Terms and Conditions of Use (hereinafter the ‘General Terms and Conditions’) is to set out the terms and conditions pursuant to which the services that the Company publishes (hereinafter the ‘Applications’) are offered to any user (hereinafter the ‘User’) on its websites websites (hereinafter the ‘Sites’). These services enable the User to play HTML5 video games on browser.

On a presently existing or future fixed or mobile terminal connected to a radio telecommunications network (including, in particular, any computer, smartphone, connected tablet or compatible connected TV) enabling access to the Service (hereinafter the ‘Terminal’).

Any use whatsoever of the Sites shall be deemed full acceptance, without reservation, of these General Terms and Conditions.

The Service that the Company offers on the Site is offered pursuant to the financial terms specified on each Site.

A User who wishes to subscribe to the Service must visit the Site and click on the video games preview he/she wishes to view. To play without limit video games offered in the subscription, he/she must then follow the instructions given on the Site, specifically the User shall register his number, validate the PIN code received and confirm his subscribe.

Access to the Services is immediate, provided, however, the internet and Terminal and/or any computer equipment of the User connected to the internet are operating properly.

The Company shall in no event be liable if the Site is not available because of telecommunications issues, in particular if these conditions are not met, as the Company has no control over the internet or the User’s computer and telephone installations.

Payment provisions

To view the Service, User shall pay his subscription. – 1,5 AED per day. Subscriptions are billed on the mobile operator or Internet provider, VAT included.

Indicated prices do not include wap connection fees that can be charged by the mobile operator or web connection that can be charged by the Internet provider.

Termination

To terminate his subscription, the User shall follow instructions below: STOP PW by SMS to 1151 for Etisalat and 2884 for DU.

Withdrawal right

If a fee is required for the Services, in accordance with Article 111 of the Part Five law, we hereby inform the User that he/she has a period of 60 clear days as from the date of the acceptance of and subscription to the Service to exercise his/her right of withdrawal, without the need to provide a reason and without incurring any penalty, except the cost of return shipment, if applicable.

The sixty (60) days shall run from the date of conclusion of the contract. To exercise his/her right of withdrawal, the User must notify the Company of his/her decision through an unambiguous statement to send to the Company at the earliest by:

The User must specify in his/her request the following in order to allow the treatment of:

- the User’s complete contact details (first name and surname, postal address, e-mail address);

- the User’s telephone number as entered into the Site or Service;

- a bank details.

An acknowledgment of receipt is sent by email when Company becomes aware of the application for withdrawal.

In case of withdrawal from the User, the Company will reimburse all payments received from him not later than fourteen days after the date on which the Company is informed of its decision to withdraw from this contract.

Provisions applying to play HTML video game

The User will select the product he wishes to play from the range of products proposed by the Company via he Site, after logging in using his username and password. A password will be sent by e-mail to the address provided by the User when he opens his account, or if he forgets his password.

After selecting the product, the User will be required to follow the instructions and comply with the Company’s requests for information. The delivery times will be as stipulated below.

Products will be delivered electronically via Internet or the telecommunications operator’s network. The User will view the selected products directly on his Terminal; viewing will be immediate, provided however that the Internet network and the User's equipment connected to the Internet are operating correctly.

The Company cannot be held liable under any circumstances for any failure to correctly receive the product, in particular if these terms and conditions have not been complied with, as it has no control over the Internet or the User's computer and telephone installations. The User has a duty to verify the content of the product upon receipt.

Use by minors or at work

Users must be of legal age to subscribe to the Service. The Company shall not be liable for subscriptions by Users who violate this rule.

Therefore, minors must obtain their parents’ permission (or the permission of their legal guardians) before ordering the Services offered on the Site(s).

Users must request authorisation from their employer or supervisor if the Site(s) are used at their workplace.

Exclusion of liability

The Company offers no express or implied warranty, and assumes no liability, with respect to the use of the Site. The company assumes no responsibility in the event of breakage of the Terminal when Users use the Service ; similarly, the company assumes no responsibility in case of nausea, travel sickness and/or epileptic seizure of the user.

Neither the Company nor any third party involved in the creation of the Site shall in any event be liable or owe any compensation to a User or any other party for direct, indirect, consequential, special or ancillary losses incurred due to the use of the Site, in particular loss of profits, losses due to business interruption or losses due to loss of programs or other data from the User’s management information system or anywhere else. The User’s connection to any other external site shall be at his/her own risk.

The Site may contain images of and links to sites managed by third parties (‘Third-Party Sites’). The Company has no control over Third-Party Sites and assumes no liability with respect to their content. In particular, the Company assumes no liability for the content of links displayed on Third-Party Sites or for modifications or updates to Third-Party Sites. The Company shall not be liable for any material distributed over the Internet or using any other form of transmission that is received from a Third-Party Site, or for a malfunction of Third-Party Sites. The Company provides such links for the User’s convenience only, and the inclusion of a link does not mean that the Company approves the content of such Third-Party Sites or that there is any association between the Company and the operators of said sites. The Company endeavours to deliver the Services as quickly as possible. However, the Company must use the services and distribution networks of third-party companies, over which it has no

influence with respect to availability. Accordingly, the Company shall not be liable in the event the User experiences delays in accessing the Services, or in the event of a temporary or permanent interruption in data transmission to the User’s Terminal if such interruption is not attributable to the Company. The Company reserves the right to temporarily suspend access to the Services for Site maintenance and repairs.

Use of the Services requires use of certain technical systems, such as a Terminal, computer programs, means of transmission, telecommunication services and other services of third-party companies, which may entail additional costs. Such costs shall be borne by the User. The Company does not supply any of these technical systems and shall in no event be liable therefor.

Intellectual property rights

The Company offers Services licensed from third-party companies, which are protected by intellectual property rights.

Consequently, Applications downloaded are for Users’ personal use only. No reproduction, modification, transmission, sale or sub-license is authorised.

The figurative or other trademarks (hereinafter referred to collectively as the ‘trademarks’) displayed in the Site, or in any newsletter, are registered or unregistered trademarks owned by the Company and third parties. Reference to trademarks on the Site shall in no event be deemed an express or implied granting of any right of use, licence or authorisation with respect to said trademarks, without the written agreement of the Company or relevant third party. Access to Services

The Service that the Company offers on the Site is offered pursuant to the financial terms specified on each Site.

A User who wishes to subscribe to the Service must visit the Site and click on the video games preview he/she wishes to view. To play without limit video games offered in the subscription, he/she must then follow the instructions given on the Site, specifically the User shall register his number, validate the PIN code received and confirm his subscribe.

Access to the Services is immediate, provided, however, the internet and Terminal and/or any computer equipment of the User connected to the internet are operating properly.

The Company shall in no event be liable if the Site is not available because of telecommunications issues, in particular if these conditions are not met, as the Company has no control over the internet or the User’s computer and telephone installations.

Payment provisions

To view the Service, User shall pay his subscription. – 1,5 AED per day. Subscriptions are billed on the mobile operator or Internet provider, VAT included.

Indicated prices do not include wap connection fees that can be charged by the mobile operator or web connection that can be charged by the Internet provider.

Termination

To terminate his subscription, the User shall follow instructions below: STOP PW by SMS to 1151 for Etisalat and 2884 for DU.

If the User’s case does not correspond to that process, he should contact the selfcare website www.my-subscriptions-uae.com or send an email to support-uae@my-subscriptions-uae.com

Withdrawal right

If a fee is required for the Services, in accordance with Article 111 of the Part Five law, we hereby inform the User that he/she has a period of 60 clear days as from the date of the acceptance of and subscription to the Service to exercise his/her right of withdrawal, without the need to provide a reason and without incurring any penalty, except the cost of return shipment, if applicable.

The sixty (60) days shall run from the date of conclusion of the contract. To exercise his/her right of withdrawal, the User must notify the Company of his/her decision through an unambiguous statement to send to the Company at the earliest by:

email sent at the address mentioned on the concerned Site.

The User must specify in his/her request the following in order to allow the treatment of:

- the User’s complete contact details (first name and surname, postal address, e-mail address);

- the name of the Service subscribed and the Site from which the Application was downloaded;

- the nature of the claim;

- the payment method used;

- the User’s telephone number as entered into the Site or Service;

- a bank details.

An acknowledgment of receipt is sent by email when Company becomes aware of the application for withdrawal.

In case of withdrawal from the User, the Company will reimburse all payments received from him not later than fourteen days after the date on which the Company is informed of its decision to withdraw from this contract.

Provisions applying to play HTML video game

The User will select the product he wishes to play from the range of products proposed by the Company via he Site, after logging in using his username and password. A password will be sent by e-mail to the address provided by the User when he opens his account, or if he forgets his password.

After selecting the product, the User will be required to follow the instructions and comply with the Company’s requests for information. The delivery times will be as stipulated below.

Products will be delivered electronically via Internet or the telecommunications operator’s network. The User will view the selected products directly on his Terminal; viewing will be immediate, provided however that the Internet network and the User's equipment connected to the Internet are operating correctly.

The Company cannot be held liable under any circumstances for any failure to correctly receive the product, in particular if these terms and conditions have not been complied with, as it has no control over the Internet or the User's computer and telephone installations. The User has a duty to verify the content of the product upon receipt.

Use by minors or at work

Users must be of legal age to subscribe to the Service. The Company shall not be liable for subscriptions by Users who violate this rule.

Therefore, minors must obtain their parents’ permission (or the permission of their legal guardians) before ordering the Services offered on the Site(s).

Users must request authorisation from their employer or supervisor if the Site(s) are used at their workplace.

Exclusion of liability

The Company offers no express or implied warranty, and assumes no liability, with respect to the use of the Site. The company assumes no responsibility in the event of breakage of the Terminal when Users use the Service ; similarly, the company assumes no responsibility in case of nausea, travel sickness and/or epileptic seizure of the user.

Neither the Company nor any third party involved in the creation of the Site shall in any event be liable or owe any compensation to a User or any other party for direct, indirect, consequential, special or ancillary losses incurred due to the use of the Site, in particular loss of profits, losses due to business interruption or losses due to loss of programs or other data from the User’s management information system or anywhere else. The User’s connection to any other external site shall be at his/her own risk.

The Site may contain images of and links to sites managed by third parties (‘Third-Party Sites’). The Company has no control over Third-Party Sites and assumes no liability with respect to their content. In particular, the Company assumes no liability for the content of links displayed on Third-Party Sites or for modifications or updates to Third-Party Sites. The Company shall not be liable for any material distributed over the Internet or using any other form of transmission that is received from a Third-Party Site, or for a malfunction of Third-Party Sites. The Company provides such links for the User’s convenience only, and the inclusion of a link does not mean that the Company approves the content of such Third-Party Sites or that there is any association between the Company and the operators of said sites. Users are responsible for reviewing any privacy policy posted on Third-Party Sites, as well as their terms and conditions of use, and for complying therewith.

The Company endeavours to deliver the Services as quickly as possible. However, the Company must use the services and distribution networks of third-party companies, over which it has no

influence with respect to availability. Accordingly, the Company shall not be liable in the event the User experiences delays in accessing the Services, or in the event of a temporary or permanent interruption in data transmission to the User’s Terminal if such interruption is not attributable to the Company. The Company reserves the right to temporarily suspend access to the Services for Site maintenance and repairs.

Use of the Services requires use of certain technical systems, such as a Terminal, computer programs, means of transmission, telecommunication services and other services of third-party companies, which may entail additional costs. Such costs shall be borne by the User. The Company does not supply any of these technical systems and shall in no event be liable therefor.

Intellectual property rights

The Company offers Services licensed from third-party companies, which are protected by intellectual property rights.

Consequently, Applications downloaded are for Users’ personal use only. No reproduction, modification, transmission, sale or sub-license is authorised.

The figurative or other trademarks (hereinafter referred to collectively as the ‘trademarks’) displayed in the Site, or in any newsletter, are registered or unregistered trademarks owned by the Company and third parties. Reference to trademarks on the Site shall in no event be deemed an express or implied granting of any right of use, licence or authorisation with respect to said trademarks, without the written agreement of the Company or relevant third party. Any use of the trademarks referred to in the Site, or the content thereof, that is not expressly authorised by the trademark holders, other than as granted under these General Terms and Conditions, is strictly forbidden. The Company hereby advises Users that it is entitled to take legal action, including before the criminal courts, to protect its intellectual property rights.

All rights of authors, composers, music publishers and all holders of neighbouring rights in the works reproduced and distributed in these Applications and/or on these Sites are reserved. Any use of said works other than as described in these General Terms and Conditions is forbidden.

Right of access to personal data files

The User is solely responsible for the data he/she provides.

In accordance with the applicable law, the User is hereby informed that the information provided in connection with the Service is necessary to use the Service. Such information enables the Company to manage provision of the Service and the customer relationship.

Such information is intended solely for, firstly, the Company and its contractual partners for the requirements of providing the Service and, secondly, its service providers.

Some of these recipients are located outside Emirates, specifically in Morocco. These recipients will receive the following data: the first name, surname and address of prospective users and/or Users;

the telephone number of prospective users and/or Users (including user names); the e-mail address of prospective users and/or Users; the identity of prospective users and/or Users; invoices of electronic communications operators (mobile telephone, landlines and internet access providers); and copies of identity documents, if applicable.

In accordance with applicable law, Users have the right to oppose the use of, and to access, correct and delete, any personal data about them that the Company obtains during their use of the Service. Users may exercise this right by sending an e-mail to the address specified on the Site.

The User is hereby informed that by entering his/her telephone number and/or e-mail address, he/she authorises the Company to send him/her offers for products and services it markets on its own behalf or through partner publishers.

To unsubscribe from the special offers of the Company and its partners (received by e-mail), the User may write to the e-mail address above or click on the unsubscription link in the newsletter.

In addition, if the User does not wish to receive offers from the Company about its products and/or services, he/she may send the keyword ‘STOP PW’ to the short number specified in the advertising.

Cookies

Cookies are data files sent to a web browser and stored on the computer’s hard drive. They do not allow internet users who visit the Sites to be identified directly. However, they record information about the computer’s navigation on the Sites (pages visited, date and time of the visit, etc.), which the Sites can read during subsequent visits. The computer stores an identification code in the cookie. The cookie only stores the identification code in its memory, and no other personal information about the User.

Data collected using cookies enable improvement of the quality of the Sites to make them more attractive or functional and to facilitate navigation thereon. More specifically, localisation data collected using cookies enables personalised Services to be provided.

The length of time during which this information is stored on the User’s computer depends on the Site(s) visited. After a cookie has been stored on his/her computer, the User may receive, or see displayed, advertising for products and services offered by the Company, its partners or subsidiaries of the Digital Virgo Group. Such advertising is broadcast under the sole responsibility of the relevant partners or advertising agencies.

The Company hereby informs the User that he/she may prevent cookies from being stored on his/her computer by configuring his/her web browser to inform him/her when cookies are sent to his/her computer. For example:

If the User uses another web browser, he/she should review the software’s options for disabling cookies. In general, cookies can be disabled in the ‘Options’ menu of the software. For additional information, the User should study the assistance provided with his/her web browser.

However, if cookies are disabled, the User may no longer be able to (i) access certain areas of the Site or (ii) use certain Services. In addition, our partner’s cookies may be placed on the Site.

Please note that, provided the User’s consent is obtained, the Company’s partners may also use cookies, to which the relevant partner’s privacy policy applies.

Claims

Claims made by the User against the Company may only concern events within the twelve months prior to the date said claims are received. Claims must be made in writing and sent:

The Company shall not be required to consider claims sent to it by any other means.

To be valid, claims shall include at least the following information:

- the User’s complete contact details (first name and surname, postal address, e-mail address);

- the name of the Service subscribed and the concerned Site;

- the User’s telephone number as entered into the Site.

Disputes

These General Terms and Conditions shall be governed by applicable law in Emirates.

In the event of a dispute with respect to the interpretation, performance and/or validity of these General Terms and Conditions that cannot be resolved amicably, the legal principles concerning jurisdiction shall apply.

Le service est édité par MOBILE KOONET (ci-après dénommée « MK » ou la « Société ») dont les coordonnées apparaissent dans le menu « Infos Editeur et Service Client ».

L’accès aux services proposés sur le site « Pulse Gaming » accessible sur l’application mobile et/ou par SMS (ci-après dénommés le(s) « Support(s) ») emporte acceptation sans réserve des présentes dispositions (ci-après dénommées les « CG »).

Les CG sont établies en Français et disponibles en ligne depuis le Support. Tout en se réservant le droit de modifier ses CG.

Article 0 : Définitions

Chacun des termes ci-dessous aura au singulier comme au pluriel la signification qui lui est attribuée ci-après :

Abonnement : désigne un forfait payant donnant accès à l’ensemble des Services sur une période d’un jour renouvelable expressément pour des périodes de même durée, sauf résiliation dans les conditions mentionnées aux présentes CG. L’Abonnement étant facturé à l’Utilisateur par SMS.

Opérateurs (de télécommunications) : désigne l’organisme qui exploite un réseau de télécommunication ou fournit ou facture des services de télécommunication fixe ou mobile.

Services : désigne les services proposés par SMS ou Internet par la Société sur les Supports.

SMS-MO (ou Short Message Service Mobile Originated) : s’entend d’un SMS émis depuis le téléphone mobile d’un Utilisateur.

SMS-MT (ou Short Message Service Mobile Terminated) : s’entend d’un SMS reçu sur le téléphone mobile d’un Utilisateur.

Terminal : désigne un téléphone portable disposant d’un accès SMS et WAP configuré et connecté.

Territoire : désigne le territoire sur lequel les Services sont accessibles aux Utilisateurs, à savoir le Cameroun.

Utilisateur(s) : désigne toute personne physique majeure ou émancipée, non professionnelle, valablement inscrite sur le Support et utilisant le Service via son Terminal.

Article 1 – Objet

Les CG déterminent les conditions dans lesquelles les Services présentés sur le Support sont proposés à tout Utilisateur. Le Service proposé sur le Support permet aux Utilisateurs de profiter du service dans le cadre d’un abonnement souscrit pour une période d’un jour et reconductible expressément pour une période de même durée. L’accès au Service est facturé SMS MT, sur la facture de l’Opérateur ou sur la carte prépayée de l’Utilisateur. L’Utilisateur reçoit un SMS MT taxé par jour.

Article 2 – Caractéristiques essentielles et accès au Service

Durée

Le Service proposé par la Société sur les Supports est accessible dans le cadre d’un abonnement conclu pour une période d’un jour et reconductible expressément pour une période de même durée. L’Utilisateur peut résilier à tout moment son abonnement dans les conditions mentionnées précisées à l’article « Désabonnement » accessible à partir du menu.

Souscription à partir d’un support de communication accessible par voie d’affichage, presse, radio et pushs cross SMS (support « offline »)

L’Utilisateur qui souhaite souscrire au Service doit envoyer un code ou mot clé indiqué sur le support de promotion au numéro court indiqué sur ledit support par SMS MO. Une fois son code d’accès saisi et envoyé, l’Utilisateur recevra un SMS lui demandant d’envoyer le mot clé « OK » pour confirmer son inscription. Il reçoit alors un SMS MT lui confirmant son abonnement.

Souscription à partir d’un support de communication accessible par voie électronique (support « online »)

L’Utilisateur qui souhaite souscrire au Service doit renseigner son numéro de téléphone sur le Support. Il reçoit ensuite un code par SMS MT qu’il doit renseigner sur le Support pour accéder au Service.

Accès au Service et au réseau Internet mobile

Une fois sa demande d’abonnement confirmée, l’Utilisateur aura directement accès au Service via son Compte une fois créé et pourra accéder aux fonctionnalités du Service.

En cas de défaut de réception des codes d’accès, MK ne pourra en aucun cas être tenue pour responsable celle-ci ne maîtrisant ni le réseau Internet mobile, ni l’installation informatique et téléphonique de l’Utilisateur.

L’accès et l’utilisation du Service nécessite le recours à des équipements, tels que notamment ordinateur ou terminal mobile, moyens de communications (tels qu’un accès à Internet mobile), logiciels. Ces équipements sont à la charge exclusive des Utilisateurs, de même que les frais de communication induits par leur utilisation.

Toute utilisation du Service par l’Utilisateur depuis son lieu de travail au moyen d’un terminal professionnel doit être faite avec l’autorisation de son employeur ou de son supérieur hiérarchique.

L’Utilisateur doit être d’âge légal pour accéder au Service. MK ne saurait être tenue responsable de l’utilisation du Service effectuée par les Utilisateurs ayant enfreint cette règle. En conséquence, les mineurs doivent obtenir l’autorisation de leurs parents (ou des personnes détenant l’autorité parentale sur le mineur), avant d’accéder au Service présentés sur ce Support.

Article 3 – Prix et modalités de paiement des Services dans le cadre de la souscription d’un Abonnement

3.1. Les prix

L’accès aux Services suppose que l’Utilisateur ait souscrit un abonnement facturé via SMS.

Les tarifs applicables au Service sont présentés sur le Support et sont accessibles dans le menu « Infos service/Infos Conditions Tarifaires ». Ils sont exprimés en francs XAF toutes taxes comprises (TTC). Tout changement du taux légal de TVA applicable sera automatiquement répercuté sur le prix du Service à la date prévue par la réglementation.

Le tarif indiqué ne comprend pas l’éventuel surcoût lié à la connexion au WAP, facturé par l’Opérateur.

3.2. Les moyens de paiement

Le règlement de l’abonnement est effectué par prélèvement sur la facture de l’opérateur de télécommunications de l’Utilisateur ou sur la carte prépayée.
L'utilisateur peut s'abonner aussi via son compte « paypal » en cliquant ici , une offre facturée 0,15 EUR par jour.

Pour se désabonner via Paypal,l'utilisateur doit se loger dans son compte Paypal, rentrer dans « gérer les paiements » du service auquel il est abonné et cliquer sur « annuler ».

Pour en savoir plus ou pour se désabonner, l’Utilisateur est invité à se reporter aux dispositions relatives à ce sujet à partir du menu « Infos Conditions Tarifaires » ou « Désabonnement » figurant dans le menu « Infos service ».

3.3 Preuve des transactions

Les enregistrements électroniques conservés par MK constitueront des preuves valides relatives à l’existence (i) des communications intervenues entre les Parties, (ii) de l’acceptation des CG et (iii) de toute utilisation des Services dans le cadre d’un Abonnement effectuée sur ou via le Support. De même, les données enregistrées par le système de paiement utilisé et choisi par l’Utilisateur (établissement bancaire ou de paiement ou autre), constituent la preuve de l’ensemble des transactions financières intervenues entre l’Utilisateur, MK et l’établissement concerné.

Article 4 – Utilisation des Services

Le Support est ouvert à toute personne physique âgée au minimum de 18 ans, résidant sur le Territoire et titulaire d’un Terminal.

L’Utilisateur est seul responsable du caractère confidentiel de son Compte, de son mot de passe, de toutes actions, de toutes informations personnelles ou renseignements bancaires communiqués aux autres Utilisateurs. La Société recommande donc à l’Utilisateur de garder secret son mot de passe, de ne jamais communiquer d’informations personnelles qu’il s’agisse des siennes ou de celles de toute autre personne (tels que les noms, adresses postales, numéros de téléphones, adresses email, carte de débit/crédit, ou d’autres coordonnées bancaires).

4.1Gestion du Compte de l’Utilisateur

L’Utilisateur ne pourra créer qu’un seul Compte. Son identification sur le Support se fera via son numéro de téléphone.

4.3 Utilisation des Services

En s’inscrivant sur le Support, l’Utilisateur s’engage :

– à fournir des informations véridiques, exactes, à jour et complètes le concernant ;

– à avertir immédiatement la Société de toute utilisation non autorisée de son compte et/ou de son mot de passe et à s’assurer de la déconnexion du Support à chaque fin de session ;

– à ne pas utiliser les Services à des fins professionnelles ou commerciales ou non privées ;

– à ne contrevenir à aucune règle civile ou pénale ;

La Société ne pourra voir sa responsabilité engagée par un Utilisateur que dans l’hypothèse où la preuve certaine et définitive serait établie d’une faute commise par la Société ou par l’un de ses prestataires intervenant dans l’exécution des obligations contractuelles de la Société, ayant causé à l’Utilisateur un dommage effectif et direct. Le cas échéant, il incombera à la Société de démontrer qu’elle n’a pas commis de faute dans l’exécution de ses obligations contractuelles. La Société ne sera pas responsable des dommages directs ou indirects subis par l’Utilisateur lorsque l’Utilisateur en est à l’origine ou lorsqu’ils résultent d’un cas de force majeure.

La responsabilité de MK ne pourra être mise en cause si un Utilisateur ne respecte pas les CG. Le non-respect de l’une des obligations mentionnées ci-dessus constitue un manquement au titre duquel MK pourra résilier le Compte et les présentes CG. En tout état de cause, l’Utilisateur garantira MK contre et l’indemnisera de, toute réclamation ou tout recours de tiers consécutif à une violation par l’Utilisateur de ses obligations en vertu des présentes CG et, en particulier, des déclarations ci-dessus.

Dans l’hypothèse où ce signalement ou ce contrôle révéleraient la violation par un Utilisateur des lois et règlements en vigueur ou de ses obligations contractuelles, les dispositions des présentes CG, notamment l’article « Durée et Résiliation » pourront être appliquées.

Article 5 – Responsabilité de MK

5.1 Utilisation du Support

Le Service proposé par MK reposant sur l’utilisation de technologies complexes, aucun engagement de résultat ne saurait être pris par MK ou reconnu à son encontre au titre de la fourniture du Service, les seuls engagements de MK étant pris dans le cadre d’une obligation de moyens.

MK fournira ses meilleurs efforts aux fins de rendre le Service accessible en permanence, hors les cas de force majeure, événement hors de son contrôle et opérations de maintenance nécessaires à assurer le bon fonctionnement du Service.

Sans préjudice de ce qui précède, l’Utilisateur reconnaît que le Service lui est fourni « en l’état » par MK et sans garantie implicite ou explicite d’aucune sorte, notamment s’agissant de la satisfaction complète de l’Utilisateur.

L’Utilisateur reconnaît notamment qu’il ne pourra engager la responsabilité de MK dans le cas où il considérerait que le Service n’est pas conforme à ses attentes.

Nonobstant toute exonération de responsabilité stipulée par ailleurs dans les présentes CGV, la responsabilité de MK ne saurait notamment être engagée dans les cas suivants :

– difficultés d’accès au Service du fait du non-respect total ou partiel d’une obligation de l’Utilisateur, de l’utilisation par l’Utilisateur d’un équipement terminal non adapté aux caractéristiques du Service, d’une défaillance et/ou d’une saturation des réseaux de télécommunications ou du fait des tiers, et notamment des opérateurs téléphoniques,

– contamination par virus ou tout autre élément à risque du Service et des équipements de l’Utilisateur, ou autre intrusion malveillante de tiers malgré les mesures raisonnables de sécurités mises en place par MK,

– mauvaise utilisation du Service par l’Utilisateur,

– dommages que pourraient subir les équipements de l’Utilisateur, ceux-ci étant sous l’entière responsabilité de ce dernier,

– atteinte d’un Utilisateur aux droits d’un tiers, incluant atteinte aux droits de propriété intellectuelle et de copyright,

En particulier, MK ne saurait être tenue responsable des éventuelles interruptions du Services dues à des causes qui ne lui sont pas directement imputables et/ou qui échappent à son contrôle, par exemple en raison de dysfonctionnement du réseau téléphonique.

Dans le cadre de la fourniture du Service, MK est ainsi amenée à utiliser les services et les réseaux de distribution d’entreprises tierces, dont elle n’a nullement la maîtrise.

MK ne saurait dès lors être tenue responsable notamment des retards possibles dans l’accès au Service, des interruptions permanentes ou temporaires de la transmission des données vers le Terminal de l’Utilisateur, ni de tout autre prestation assurée par un tiers.

Le Service pourra être suspendu par MK aux fins de maintenance pour des périodes ne pouvant généralement pas être supérieure à 48 heures, sans que l’Utilisateur puisse exiger une quelconque compensation.

MK pourra, à tout moment, cesser la fourniture du Service, de manière partielle ou totale.

Il est expressément convenu que si la responsabilité de MK devait être retenue, celle-ci serait en tout état de cause limitée à la réparation des seuls préjudices directs, à l’exclusion de tous préjudices indirects quels qu’ils soient (tels que notamment disparition, perte, détérioration de données et/ou tout dommage susceptible d’altérer notamment l’équipement de l’Utilisateur).

Le Support peut contenir des images et des liens vers des supports Web gérés par des tiers (« Supports Tiers »). MK n’exerce aucun contrôle sur les Supports Tiers et n’assume aucune responsabilité quant à leur contenu, ni notamment quant au contenu des liens présentés dans les Supports Tiers, ou encore aux modifications ou mises à jour apportées à un Support Tiers. MK n’est pas responsable de la diffusion sur le Web ni de toute autre forme de transmission reçue à partir d’un Support Tiers, ni même du mauvais fonctionnement de(s) Support(s) Tiers(s). Ces liens ne sont proposés par MK qu’à des fins de commodité, et l’insertion de tout lien ne signifie pas que MK approuve le contenu de ces Supports ni n’implique aucune association entre MK et les exploitants desdits Supports. Il appartient aux Utilisateurs de consulter toute charte relative à la protection de la vie privée affichée sur les Supports Tiers, ainsi qu’à leurs conditions d’utilisation, et de s’y conformer.

5.2 Limites du Service

MK ne peut être tenue pour responsable en cas de fait de, ou relevant de, l’Utilisateur, de fait résultant d’un tiers ou de force majeure. Sont considérés notamment comme cas de force majeure, les intempéries exceptionnelles, les catastrophes naturelles, les incendies, les inondations, la foudre, les surtensions électroniques, les attentats, les grèves, les défaillances des opérateurs de réseaux et de paiement, les virus informatiques, et tout évènement de force majeure ou cas fortuit au sens de l’article 1148 du code civil.

MK met en œuvre les moyens nécessaires à la fourniture de son Service. Elle ne peut être tenue pour responsable de tout problème technique indépendant de son Service, des problèmes de communications électroniques dus à l’opérateur mobile et du terminal ou de l’ordinateur de l’Utilisateur, de toute raison technique, telle que maintenance curative ou préventive, interruption ou dégradation des réseaux, ou affectant la disponibilité du Service. MK se réserve le droit de suspendre temporairement l’accès aux Services pour des travaux d’entretien et de réparation du Support.

5.3 Informations et contenus fournis par les Utilisateurs

Les conséquences de la divulgation des informations et contenus fournis par l’Utilisateur sont de la responsabilité exclusive de l’Utilisateur concerné. En outre, il renonce à tout recours à l’encontre de MK, notamment sur le fondement de l’atteinte éventuelle à son droit à l’image, à son honneur, à sa réputation, à l’intimité de sa vie privée, résultant de la diffusion ou de la divulgation d’informations le concernant dans les conditions prévues par les présentes, notamment par l’article « Droit d’accès et protection des données personnelles », dans la mesure où l’Utilisateur a préalablement, librement et explicitement consenti à une telle divulgation du fait de son inscription au Service et en application des présentes Condition d’Utilisation.

MK ne peut être tenue pour responsable de (et des conséquences de) l’exactitude ou de l’inexactitude des informations et contenus fournis par les Utilisateurs.

L’Utilisateur concède à la Société une licence d’utilisation des droits de propriété intellectuelle attachés à tous types de contenus fournis par l’Utilisateur concerné aux fins de diffusion sur le Support. Cette licence comprend notamment le droit pour la Société de reproduire, représenter, adapter, traduire, numériser, utiliser aux fins du Service ou de sous-licencier les contenus concernant l’Utilisateur (informations, images, description, critères de recherche, etc.), sur tout ou partie du Service (sur le Support, par email, par Audiotel) et/ou dans les mailings de la Société et de manière générale sur tous supports de communication électronique (e-mail SMS, MMS, WAP, Internet mobile) dans le cadre du Service.

L’Utilisateur autorise expressément la Société à modifier lesdits contenus afin de respecter la charte graphique des Services ou des autres supports de communication visés ci-dessus et/ou de les rendre compatibles avec ses performances techniques ou les formats des supports concernés. Ces droits sont concédés pour le monde entier et pour toute la durée d’exécution des présentes CG entre l’Utilisateur et la Société.

Article 6 – Durée et Résiliation

6.1 Durée

Les CG sont conclues pour une durée indéterminée qui débute au jour de la souscription de son Abonnement par l’Utilisateur sur le Support. Elles peuvent être dénoncées par l’Utilisateur à tout moment selon les modalités visées aux alinéas suivants du présent article.

6.2 Résiliation de son inscription

Chaque Utilisateur peut se désinscrire du Service en demandant la clôture de son compte à tout moment auprès de la Société en cliquant sur le lien de désinscription directement accessible sur le Support ou en envoyant le mot clé « Stop » au numéro court d’accès au service ou par tout autre moyen indiqué par la Société. La désinscription de l’Utilisateur des Services sera effective le jour ouvré suivant la réception par la Société de la demande de clôture du Compte concerné. La résiliation de l’inscription se fait sans frais autres que ceux nécessaires à la transmission de sa demande et sans motif.

Dans le cas où l’Utilisateur aura également souscrit un Abonnement, il devra impérativement en demander la résiliation avant de se désinscrire du Service et de demander la clôture de son Compte en suivant les modalités de résiliation mentionnées dans les dispositions relatives à ce sujet dans l’onglet « Désabonnement » comme mentionné ci-dessous.

L'utilisateur du service Pulse gaming peut également se désabonner manuellement en insérant son numéro de téléphone ayant servi à l'abonnement sur http://www.mes-abonnements-cm.com

L’Utilisateur peut également résilier son Abonnement au moment de la suppression de son Compte, en suivant les indications précisées à partir du menu « Désabonnement ».

Article 7 – Droit de propriété intellectuelle

Les marques, figuratives ou non (ci-après ensemble « les marques ») visualisées sur ce Support ou dans toute newsletter sont des marques, enregistrées ou non, appartenant à MK et à des tiers. La mention des marques, sur ce Support ne constitue en aucune manière de façon implicite ou explicite, une concession de droit d’utilisation, une licence ou une autorisation quelconque relative auxdites marques sans un accord écrit de MK ou du tiers concerné. Toute utilisation, non autorisée explicitement par les titulaires, des marques citées sur le Support et dans son contenu, autre que celle consentie au titre des présentes, est strictement interdite.

Par ailleurs, l’Utilisateur reconnaît que le Service (y compris notamment l’interface utilisateur, le contenu éditorial ainsi que les scripts et logiciels utilisés pour mettre en œuvre le Service) contient des informations et des éléments protégés appartenant à MK et/ou à ses concédants et qui sont protégés par les lois relatives à la propriété intellectuelle, y compris notamment le droit d’auteur. De même, et de manière plus générale, tous contenus, tels que les logos, les graphismes, les photographies, les animations, les textes contenus sur le Support et dans les Services sont la propriété intellectuelle de MK ou de ses partenaires et ne peuvent être reproduits, utilisés ou représentés sans l’autorisation expresse de MK ou de ses partenaires, sous peine de poursuites judiciaires.

Les droits d’utilisation concédés par MK à l’Utilisateur sont réservés à un usage privé et personnel dans le cadre et pour la durée de son utilisation des Services. Toute autre utilisation par l’Utilisateur est interdite sans l’autorisation de MK.

L’Utilisateur s’interdit notamment de modifier, copier, reproduire, télécharger, diffuser, transmettre, exploiter commercialement et/ou distribuer de quelque façon que ce soit les Services, les pages du Support, ou les codes informatiques des éléments composant les Services et le Support.

Article 8 – Droit d’accès et protection des données personnelles – Cookies

L’Utilisateur est invité à se reporter aux dispositions relatives à ce sujet à partir du menu du Support (Infos Service/ Données Personnelles).

Article 9 – Réclamations

Toute réclamation adressée par l’Utilisateur à MK ne pourra porter que sur les 12 (douze) mois précédant la date de réception de ladite réclamation. MK ne sera pas tenue de prendre en compte les demandes qui lui seraient adressées par d’autres voies. Pour être recevable, toute demande devra être soumis par email à l’adresse support@mes-abonnements-cm.com et devra comporter à minima les éléments suivants :

– les coordonnées complètes (nom, prénom, adresse postale, email) de l’Utilisateur ;

– le nom du service concerné ;

– l’objet de la demande ;

– le numéro de téléphone de l’Utilisateur tel que renseigné au moment de la souscription ;

– le mode de paiement utilisé ;

– une copie de la facture détaillée de l’opérateur de paiement ;

– un relevé d’identité bancaire.

Article 10 – Convention entre les Parties

Les CG constituent un contrat régissant les relations entre MK et l’Utilisateur. Elles annulent et remplacent toutes les dispositions antérieures et expriment l’intégralité des droits et obligations de l’Utilisateur et de MK dans le cadre des présentes.

Le fait pour l’une des parties de ne pas se prévaloir d’un manquement par l’autre partie à l’une quelconque des obligations visées dans les présentes ne saurait être interprété pour l’avenir comme une renonciation à l’obligation en cause.

Si une ou plusieurs stipulations des CG sont tenues pour non valides ou déclarées telles en application d’une loi, d’un règlement ou à la suite d’une décision définitive d’une juridiction compétente, les autres stipulations garderont toute leur force et leur portée.

Article 11 – Litiges

Les présentes CG sont soumis au droit camerounais.

En cas de litige (pour lesquels seules les juridictions camerounais seront compétentes), l’Utilisateur s’adressera par priorité à MK pour obtenir une solution amiable.

En cas de contestation relative à l’interprétation, l’exécution et/ou la validité des présentes CG et à défaut de règlement à l’amiable, les règles de compétence légales s’appliquent.
